Assumed Business Names

  1. For purposes of the Oregon statutes, the term "assumed business name" means one or more words or numerals (or a combination of words or numerals) that a person uses to identify a business or conducts a business under, where the person does not conspicuously disclose the "real and true name" (surname and initials) of each person who is carrying on or conducting the business. Further, any name that suggests the existence of additional owners such as "& Company," or "& Associates" or a similar word or phrase is an assumed business name. Oregon law requires that any person conducting or transacting business under an assumed business name register that name. Registration is done by filing the required form, together with the fee, with the Office of the Secretary of State. No person who carries on or conducts a business in violation of the assumed business name registration statutes may maintain a lawsuit for the benefit of the business. Certain penalties may apply where a plaintiff incurs costs to determine the real and true name of a defendant.
